Senior Corporate Legal Counsel @ Sanoma

If you are thinking YES, please keep reading, because you could be the lawyer we are looking for to join Sanoma as the group’s new Senior Corporate Legal Counsel!
In this new role, you will join a Group-level legal team and report to the Chief Legal Officer of Sanoma. In total, a team of 20+ legal professionals support Sanoma’s group-level, learning and media operations.
Your main areas of responsibility will be:
1) Listed company governance
You will support in general company law, listed company governance and securities market regulations related topics. For example, you will ensure that actions based on Sanoma’s annual governance clock are prepared and managed in a timely manner, advise the Board, the Executive Leadership Team members, and other relevant colleagues in disclosure obligations under MAR and arrange the general meetings of Sanoma Corporation in cooperation with the Chief Legal Officer, Paralegal, and external legal support.
2) M&A projects
As a proactive deal-team member, you will identify, assess and deal with legal exposures Sanoma faces in M&A projects. For instance, you will review, draft, and negotiate transaction documents in line with prevailing group policies and procedures and ensure that necessary post-closing actions are in place and integration activities planned and executed. Should transactions related disputes arise, you will also manage these.
3) Financing transactions
You will play an active role in loan agreement negotiations and other financing transactions, and provide ongoing legal support to Sanoma’s Treasury function.
In addition, you will follow the regulatory development in your respective areas of responsibility and analyze the impact of expected and actual changes. You will also develop trainings, tools, and templates, and engage and interact with outside counsels (including cost management). If you have demonstrated leadership skills or show strong potential for a managerial position, you can also work as a manager for an experienced Paralegal based in Helsinki.
Sanoma’s team works based on a flexible hybrid working policy combining a few days per week on-site with the option to work remotely. This role is based in Sanoma’s HQ located in central Helsinki, Finland. Occasional travel may be required mostly connected to M&A projects.
This role would be ideal for a legal professional who:
🔹 has a Finnish legal degree and a strong command of listed company governance and M&A – previous exposure to financing transactions is an asset, but not a necessity.
🔹 has at least 6 years of relevant post-graduate experience e.g. from a business law firm, consultancy team or from an inhouse legal role; we are looking for an expert who can liaise with executive-level stakeholders in a confident and reliable manner.
🔹 is a precise communicator and keeps their cool under pressure.
🔹 is resilient and adaptive – Sanoma’s business environment evolves constantly, and we are looking for an individual who enjoys the ride!
🔹 is fluent in Finnish and English – other language skills are a plus.
